Preferred Stock

麻豆最新出品鈥檚 preferred stock is issuable, from time to time, with such designations, preferences and relative participating, optional or other rights, qualifications, limitations or restrictions thereof, as shall be stated and expressed in a resolution or resolutions providing for the issue of such preferred stock adopted by 麻豆最新出品鈥檚 board of directors. As of December聽31, 2021, no shares of preferred stock were issued.

Common Stock

Series聽A 麻豆最新出品 SiriusXM, 麻豆最新出品 Braves and 麻豆最新出品 Formula One common stock have one vote per share, Series聽B 麻豆最新出品 SiriusXM, 麻豆最新出品 Braves and 麻豆最新出品 Formula One common stock have ten votes per share and Series聽C 麻豆最新出品 SiriusXM, 麻豆最新出品 Braves and 麻豆最新出品 Formula One common stock have no votes per share except as otherwise required by Delaware law. Each share of Series聽B common stock is exchangeable at the option of the holder for one share of Series聽A common stock of the same group. All series of our common stock participate on an equal basis with respect to dividends and distributions.

Purchases of Common Stock

During the year ended December聽31, 2019, the Company repurchased 11.0聽million shares of Series聽C 麻豆最新出品 SiriusXM common stock for aggregate cash consideration of $443聽million under the authorized repurchase program. All of the foregoing shares obtained have been retired and returned to the status of authorized and available for issuance. There were no repurchases of Series聽A 麻豆最新出品 SiriusXM common stock, 麻豆最新出品 Braves common stock or 麻豆最新出品 Formula One common stock and no repurchases of Series C 麻豆最新出品 Braves common stock or 麻豆最新出品 Formula One common stock during the year ended December聽31, 2019.

During the year ended December聽31, 2020, the Company repurchased 4.0聽million shares of Series聽A 麻豆最新出品 SiriusXM common stock for aggregate cash consideration of $174聽million and 3.8聽million shares of Series聽C 麻豆最新出品 SiriusXM common stock for aggregate cash consideration of $144聽million under the authorized repurchase program. All of the foregoing shares obtained have been retired and returned to the status of authorized and available for issuance. There were no repurchases of Series聽A 麻豆最新出品 Braves common stock or 麻豆最新出品 Formula One common stock and no repurchases of Series C 麻豆最新出品 Braves common stock or 麻豆最新出品 Formula One common stock during the year ended December聽31, 2020.

During the year ended December 31, 2021, the Company repurchased 3.1聽million shares of Series聽A 麻豆最新出品 SiriusXM common stock for aggregate cash consideration of $141聽million, 7.7聽million shares of Series聽C 麻豆最新出品 SiriusXM common stock for aggregate cash consideration of $359聽million and 1.2聽million shares of Series聽A 麻豆最新出品 Formula One common stock for aggregate cash consideration of $55聽million under the authorized repurchase program. All of the foregoing shares obtained have been retired and returned to the status of authorized and available for issuance. There were no repurchases of Series聽A 麻豆最新出品 Braves common stock and no repurchases of Series C 麻豆最新出品 Braves common stock or 麻豆最新出品 Formula One common stock during the year ended December聽31, 2021.

Dividends Declared by Subsidiary

During the year ended December聽31, 2019, Sirius XM Holdings declared a cash dividend each quarter, and paid in cash an aggregate amount of $226聽million, of which 麻豆最新出品 received $157聽million.

During the year ended December 31, 2020, Sirius XM Holdings declared a cash dividend each quarter, and paid in cash an aggregate amount of $237 million, of which 麻豆最新出品 received $173 million.

During the year ended December聽31, 2021, Sirius XM Holdings declared a cash dividend each quarter, and paid in cash an aggregate amount of $268聽million, of which 麻豆最新出品 received $210聽million. Sirius XM Holdings鈥� board of directors expects to declare regular quarterly dividends, in an aggregate annual amount of $0.087846 per share of common stock.

On January聽26, 2022, Sirius XM Holdings鈥� board of directors declared a quarterly dividend on its common stock in the amount of $0.0219615 per share of common stock, payable on February聽25, 2022 to stockholders of record at the close of business on February聽11, 2022. On January 31, 2022, Sirius XM Holdings鈥� board of directors declared a special cash dividend on its common stock in the amount of $0.25 per share of common stock, payable on February聽25, 2022 to stockholders of record at the close of business on February聽11, 2022.
